1. Introduction and Acceptance

Thank you for choosing Sincro, owned by Diogo Filipe Fernandes Palos. By subscribing to or using, in any way, the Sincro service, websites or applications (together, the "Sincro Service" or "Service"), or by accessing any content or material made available by Sincro through the Service (the "Content"), the Sincro User is entering into a contract with Sincro.

The Services Agreement entered into between the User and Sincro consists of these Terms and Conditions of Use, the Privacy Policy and any additional terms the User agrees to. Please read the Agreements carefully, as they contain essential information about the Sincro Services made available to you, fees and charges, renewals, limitations of liability and privacy information.

To use the Sincro Service and access the Content, the User must: (1) be 18 years of age or older, and (2) have the legal capacity to enter into this agreement with Sincro. The User warrants that any registration information provided is true, accurate and complete.

2. Changes to the Agreements

The Agreements may be updated, amended or replaced periodically, in whole or in part, without prior notice. Sincro will provide a visible communication of the updated Agreements in whatever manner it deems most appropriate, for example, by displaying a notice on the Service or through electronic communication.

If you do not wish to continue using the Service under the new version of the Agreements, you may terminate them. Continued use following updates constitutes tacit consent to the changes made.

3. Subscription to Sincro Plans

3.1 Services and Plans

Sincro provides a platform for creating guest data collection forms and, on paid plans, automatic communication with SIBA (Sistema de Informação de Boletins de Alojamento). For automatic submission features, the User must register the operating entity with SIBA and enable the Webservice submission method. It is the User's sole responsibility to ensure that the client data in Sincro (Accommodation Establishment - Tax ID, Establishment and Activation Key) matches the data registered on the SIBA platform.

3.2 Free Version vs. Paid Plans

Sincro offers a free version that allows only form creation and data collection. Automatic submission to SIBA is a paid service (Paid Plans). The User is solely responsible for managing their Plan in the Extranet. Non-renewal results in the automatic cancellation of the submission service.

3.3 Payment Terms

Plan subscriptions are monthly and billed in advance. Amounts paid are not, under any circumstances, refundable in the event of cancellation by the User. Pricing is subject to updates published on the website. The listed price is exempt from VAT under Article 53.

3.4 Cancellation

In the event of a breach of the Agreements, Sincro may, at any time and without prior notice, suspend or cancel the account. Cancellation results in the deletion of all content and settings, and deleted information cannot be recovered.

4. Right of Use and Copyright

The Service and Content are the property of Sincro. Sincro grants the User a personal, non-transferable, limited and revocable license. The User understands that the structure, organization and source code constitute valuable trade secrets.

It is prohibited to: a) create derivative works; b) decompile; c) reverse engineer. It is expressly prohibited to modify, duplicate or reuse visual design elements without written authorization.

5. Terms of Use of the Sincro Account

The User is responsible for all content entered into the account and for all activity that occurs within it. The login may only be used by a single User, and sharing between multiple people is not permitted.

The User is fully responsible for maintaining the security of their account and password. Sincro is not responsible for any loss or damage resulting from failure to comply with these security obligations.

6. Warranty and Legal Notice

Sincro is provided on an "as is" basis, without express or implied warranty. We do not warrant that: i) the Service will meet specific needs; ii) it will be uninterrupted or error-free; iii) the results will be accurate or reliable.

All information entered (guest data, SIBA settings) is the sole responsibility of the User. The User is solely responsible for meeting the legal deadlines for submitting the Guest Report (Law no. 23/2007).

7. Limitation of Liability

Sincro and its owner shall not be liable for any loss, damage, claim or direct, indirect or incidental damages, including lost profits, data loss or replacement costs, arising from use of the Service or from any error in processing the submission of Reports to SIBA/Authorities.

8. General Data Protection Regulation (GDPR)

Regulation (EU) 2016/679 (GDPR) sets out the rules on the protection and free movement of personal data. In the context of using Sincro, the User acknowledges that the platform processes sensitive identification data of third parties (Guests).

8.1 Responsibilities

The User is the Data Controller of their guests' personal data. Sincro acts as a Data Processor, processing this data solely on behalf of and in accordance with the User's instructions, for the purposes of form management and reporting to SIBA.

8.2 Data Collected

The personal data identified in the registration form and guest forms is essential for the provision of the Service. Any omission or inaccuracy in the data provided by the User or their guests is solely and entirely their responsibility.

8.3 Purpose and Communication

Guest data collected through Sincro is intended strictly for compliance with the User's legal obligations to the competent authorities (currently via the SIBA portal). Sincro will not use this data for commercial purposes or share it with third parties not identified in this agreement.

8.4 Rights of Data Subjects

The User and the data subjects (Guests) are guaranteed the right to access, rectify, update or delete their personal data. The User, as Data Controller, must ensure that their guests are informed about their accommodation's privacy policy.

8.5 Security

Sincro adopts technical and organizational security measures to protect data against accidental destruction, loss or unauthorized access. However, since the Internet is an open network, the User acknowledges that information sent by e-mail or publicly shared links may be exposed to security risks beyond Sincro's direct control.

8.6 Data Retention

The duration of data processing will be equivalent to the term of the User's subscription. After account cancellation, Sincro will delete or anonymize the data in accordance with the legal audit deadlines.

9. Governing Law, Jurisdiction and Entirety

The Agreements are governed by Portuguese Law. If an amicable solution cannot be reached, the Judicial Court of the Lisbon District shall have jurisdiction. Should any clause be deemed invalid, the remaining clauses shall remain in effect. The Agreements are a single, indivisible whole.
